{"id":6951,"date":"2025-06-25T15:30:27","date_gmt":"2025-06-25T12:30:27","guid":{"rendered":"https:\/\/vertia.fi\/?page_id=6951"},"modified":"2025-06-25T15:31:27","modified_gmt":"2025-06-25T12:31:27","slug":"buildstat-ohjelmiston-kayttoehdot","status":"publish","type":"page","link":"https:\/\/vertia.fi\/en\/buildstat-ohjelmiston-kayttoehdot\/","title":{"rendered":"Terms of Use for the BuildStat Software"},"content":{"rendered":"<p>BuildStat software (\u201d<strong>Software<\/strong>\u201d) Terms of Use (\u201d<strong>Terms of Use<\/strong>\u201d) applies to Vertia Oy (\u201d<strong>Editor<\/strong>\u201d) to its customer (\u201d<strong>Customer<\/strong>\u201d) granted under a separate agreement. The Terms of Use, together with the specific agreement granting the license, constitute the agreement (\u201d<strong>Agreement<\/strong>\u201d) regarding the right to use the Software. These Terms of Use apply solely to the right to use the Software. All other deliveries of goods or services must be agreed upon separately. The Customer is aware that use of the Software requires the purchase of compatible sensors, IoT network connections, and terminal devices.<\/p>\n<h2>1 Definitions<\/h2>\n<p>Unless otherwise expressly agreed or unless the context requires otherwise, the following definitions apply in these Terms of Use<\/p>\n<table width=\"558\">\n<tbody>\n<tr>\n<td width=\"208\"><strong>\u201dCustomer Materials\u201d<\/strong><\/td>\n<td width=\"350\">refers to data generated by compatible devices used by the Customer and stored in the Software.<\/td>\n<\/tr>\n<tr>\n<td width=\"208\"><strong>\u201cDocumentation\u201d<\/strong><\/td>\n<td width=\"350\">means the Supplier\u2019s current written or electronic specification or service description document for the Software.<\/td>\n<\/tr>\n<tr>\n<td width=\"208\"><strong>\u201cPersonal data\u201d<\/strong><\/td>\n<td width=\"350\">refers to personal data as defined by data protection laws.<\/td>\n<\/tr>\n<tr>\n<td width=\"208\"><strong>\u201cUser\u201d<\/strong><\/td>\n<td width=\"350\">means a person employed by the Customer who uses the Software on behalf of the Customer.<\/td>\n<\/tr>\n<tr>\n<td width=\"208\"><strong>\u201cOperating Environment\u201d<\/strong><\/td>\n<td width=\"350\">refers to the measuring devices required to use the Software, such as sensors, meters, or other hardware, software, and IoT or other data communication connections.<\/td>\n<\/tr>\n<tr>\n<td width=\"208\"><strong>\u201cSoftware\u201d<\/strong><\/td>\n<td width=\"350\">means the browser-based software called BuildStat, designed by the Supplier, which the Customer may use to the extent agreed upon in the Agreement.<\/td>\n<\/tr>\n<tr>\n<td width=\"208\"><strong>\u201cError\u201d<\/strong><\/td>\n<td width=\"350\">means a situation in which the Software does not substantially conform to the specifications set forth in the Documentation.<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<h2>2 License<\/h2>\n<p>Subject to the terms and conditions and limitations set forth in the Agreement and in exchange for the agreed-upon fees, the Customer shall be granted a limited, non-exclusive, and non-transferable right to use the Software for the duration of the Agreement. The User may connect via the Internet to the server specified by the Supplier, where the Software is available. Unless otherwise agreed, the right to use the Software is limited to the Customer\u2019s own use.  The fee is determined in accordance with the Agreement.<\/p>\n<p>The customer may not:<\/p>\n<ul>\n<li>distribute, rent, lend, sublicense, copy, or transfer the Software or Documentation in whole or in part, or offer the Software to its own customers or third parties;<\/li>\n<li>compile or otherwise attempt to create the source code of the Software;<\/li>\n<li>attempt to obtain, or assist third parties in obtaining, access to the Software other than as provided in the Agreement, or use the Software for any purpose other than as provided in the Agreement;<\/li>\n<li>store or allow the storage of viruses or other harmful, illegal, or damaging material in the Software;<\/li>\n<li>modify, extend, or otherwise alter the Software;<\/li>\n<li>remove, destroy, or otherwise alter any intellectual property rights of the Supplier or a third party contained in the Software, or any notices relating thereto; or<\/li>\n<li>transfer or assign any rights or obligations under this Agreement, or any user IDs or other similar information, to a third party without the Supplier\u2019s prior written consent.<\/li>\n<\/ul>\n<p>The Supplier has the right to deny access to the Software if it is used in violation of the law, government regulations, good practice, the Agreement, the Documentation, or the Supplier\u2019s written instructions, or if the Customer fails to make the payments due to the Supplier under the Agreement.<\/p>\n<p>The Supplier and its suppliers retain all industrial, copyright, and other intellectual property rights to the Software, its components, the Documentation, and related documents. The Supplier does not grant or otherwise transfer any ownership rights, copyrights, or other related rights to the Software or the Documentation to the Customer. The Customer has only a right to use the Software as agreed. The Software is protected by laws and agreements regarding copyright, trade secrets, and commercial and other intellectual property rights.<\/p>\n<h2>3 General Responsibilities and Obligations of the Supplier<\/h2>\n<p>The Supplier is responsible for delivering the Software to the Customer in accordance with the Agreement, the Documentation, and its policies.<\/p>\n<p>The Supplier shall make the Documentation available to the Customer.<\/p>\n<p>The Supplier is entitled to use subcontractors to fulfill its obligations under this Agreement without the Customer\u2019s separate consent. The Supplier shall be liable for the work performed by the subcontractor as if it were its own.<\/p>\n<p>Unless otherwise agreed, the Supplier shall provide the Customer with support services in accordance with the Agreement during the Supplier\u2019s normal business hours, which are 8:00 a.m. to 4:00 p.m. on weekdays (Finnish time).<\/p>\n<p>The Supplier may, at its discretion, replace the Software with an updated version, which addresses Bugs and defects that have arisen since the release of the previous version and which may, at the Supplier\u2019s discretion, include a limited number of new features and functions that the Supplier has decided to offer its customers at no additional charge.<\/p>\n<h2>4 General Responsibilities and Obligations of the Customer<\/h2>\n<p>The Customer agrees to pay the fees associated with the use of the Software.<\/p>\n<p>Unless otherwise agreed, the Customer is responsible for selecting the Software, its use, its suitability for the Customer\u2019s intended purpose, and any costs arising from the use of the Software. The Customer is responsible for any modifications made to the Software that are agreed upon separately, and the Supplier will charge for them as additional services.<\/p>\n<p>The Customer is responsible for (i) the actions and omissions of Users; (ii) entering into all necessary agreements with Users and other relevant parties regarding the use of the Software; and (iii) obtaining any consents and permissions required by data protection laws, as well as other obligations arising for the Customer under data protection laws, including a privacy policy and other documentation required by law. If the Customer stores Personal Data in the Software that the Supplier processes as a processor within the meaning of data protection regulations, the Customer must, prior to storing the Personal Data, enter into a data processing agreement with the Supplier in accordance with the Supplier\u2019s policies.<\/p>\n<p>The Customer acknowledges and accepts the potential risk of interruption in the use of the Software and shall use its best efforts to prevent any damage that may result from disruptions or other malfunctions in the Software or its Operating Environment (including the IoT connection), or from other malfunctions in the Operating Environment, or from a temporary interruption in the use of the Software.<\/p>\n<p>The Customer is responsible for ensuring that Users keep their user IDs confidential. The Customer is always responsible for any loss of user IDs or misuse resulting from any other cause. The Customer is obligated to provide the Supplier with the required information regarding Users in the agreed format and within the agreed timeframe.<\/p>\n<p>The Customer shall be responsible for all expenses, costs, actions, and procedures related to the use of the Software (including support, unless otherwise agreed).<\/p>\n<p>The Customer shall be deemed to have accepted the Software once the Customer has begun using the Software and has not reported any defects within 14 days of commencement of use.<\/p>\n<h2>5 Troubleshooting and Support Services<\/h2>\n<p>The Supplier\u2019s obligations regarding software maintenance, support, and availability are set forth in full in this section of the agreement.<\/p>\n<p>The Supplier shall, at its commercial discretion, provide a reasonable level of user support to the Customer\u2019s contact person. Unless otherwise agreed, other user support services are considered additional services and are subject to the prices set forth in the Agreement.<\/p>\n<p>The Supplier has the right to temporarily suspend the provision of the Software during maintenance work. If possible, the Supplier will notify the Customer of any planned suspensions in advance.<\/p>\n<p>The Customer must notify the Supplier of the Defect without undue delay. Unless otherwise agreed, the Supplier must begin corrective measures no later than the next business day. The Supplier will continue corrective measures during normal business hours until the Defect has been corrected.<\/p>\n<p>Liability for defects is contingent upon the Software being used in the specified Operating Environment. The Supplier will perform corrective actions from its own facilities.<\/p>\n<p>The Supplier shall not be liable for defects that (i) result from the use of the Software in violation of the Agreement, the Documentation, or the Supplier\u2019s written instructions; (ii) result from telecommunications or other third-party disruptions beyond the Supplier\u2019s control; (iii) result from the use of products or services not supplied by the Supplier; (iv) result from modifications to the Software made by anyone other than the Supplier; (v) result from the actions of persons who have gained unauthorized access to the Software; or (vi) result from the acts or omissions of the Customer or its employees, representatives, contractual partners, or resellers, or from the actions of any person who gains access to the Software using the Customer\u2019s user credentials.<\/p>\n<p>If the defect reported by the Customer does not fall within the scope of the Supplier\u2019s liability for defects, the Supplier shall be entitled to charge the Customer for the costs incurred in investigating the defect in question.<\/p>\n<p>The Supplier makes no warranties and assumes no liabilities with respect to the Software other than those set forth in the Agreement and these Terms of Use. In all other respects, the Software is provided \u201cas is.\u201d.<\/p>\n<h2>6 Other Terms and Conditions<\/h2>\n<p>The Supplier is entitled to use the technical data contained in the Customer\u2019s Materials (excluding Personal Data) for the development of its own products and services on a permanent basis and without any obligation to compensate the Customer.<\/p>\n<p>Upon termination of the Agreement, the Customer\u2019s right to use the Software shall automatically terminate, and the Supplier shall have the right to block the User\u2019s access to the Software and to delete the Customer\u2019s Data. The Supplier is under no obligation to retain the Customer\u2019s Data existing on the termination date, unless otherwise agreed. If the Customer wishes to receive a copy of the Customer\u2019s Data, the Supplier may, to the best of its ability, transfer the Customer\u2019s Data to the Customer in exchange for a separate, reasonable fee. At the Customer\u2019s request, the Supplier shall endeavor to provide transfer assistance to the extent reasonably requested by the Customer, in exchange for compensation for time and material costs.<\/p>\n<p>Except in cases where the damage was caused intentionally or through gross negligence, the Supplier\u2019s liability shall in no event exceed the Supplier\u2019s VAT-exclusive monthly fee charged to the Customer for the use of the Software at the time of the breach of the Agreement, multiplied by six (6).<\/p>\n<p>Except in cases where damage is caused intentionally or through gross negligence, the Supplier shall in no event be liable for any indirect or consequential damages incurred by the Customer.<\/p>\n<p>The parties shall not be liable for failure to fulfill their contractual obligations if such failure is due to force majeure. Force majeure is defined as an event beyond a party\u2019s control that prevents the fulfillment of an obligation, such as natural disasters, strikes, war-like situations, pandemics, or obstacles imposed by authorities.<\/p>\n<p>This agreement and its terms and conditions shall be governed by the laws of Finland, excluding its conflict-of-laws principles.<\/p>\n<p>Any disputes arising out of or in connection with this agreement shall be settled by arbitration in accordance with the Rules of the Arbitration Institute of the Finnish Chamber of Commerce.
